Our business law team provides a wide range of services to business clients. We provide advice, direction, counsel, and support to all types of businesses from start-ups to large sophisticated business operations: from sole proprietorships to partnerships to limited partnerships to corporations.
Business Advice: We are counsel to more than 1000 dynamic private sector business enterprises located throughout southern and central Ontario, for whom we consult in connection with their ongoing organizational and transactional needs. We are dedicated to acting within a team of professionals including corporate management and other professional advisors to develop constructive solutions to matters of immediate importance as well as others related to longer term goals and objectives.
Business Organization: We assist in setting up and organizing new business entities. We provide ongoing support and maintenance including annual meetings, filings and reorganizations. We help businesses with day-to-day business decisions and documents.
Business Purchases and Sales: We are regularly involved in the purchase and sale of companies and other forms of business units. We act within the private sector and have extensive experience in corporate integration, leveraged buy-outs, and management buy-outs. Our merger and acquisition clients generally include small to medium size private companies within Canada.
Contracts and Leases: We help to negotiate and draft commercial documents including contracts, employment agreements and lease agreements.
Financing: We represent institutional lenders and corporate borrowers in connection with a wide range of financial services including corporate finance, acquisition financing, secured transactions, asset based financing, real estate financing, development financing, debt restructuring, and workouts. Our financing clients include major Canadian chartered banks, municipalities, manufacturers and developers.
Franchising, Intellectual property etc.: We have individual lawyers with significant experience in franchising and intellectual property (trademarks) law.
